FreightCar America, Inc. Files Registration Statement For the Sale of Shares by Certain Stockholders


FreightCar America, Inc. (NASDAQ: RAIL) announced today that it has filed a registration statement on Form S-1 with the Securities and Exchange Commission for a proposed sale of its common stock by certain of its stockholders, including its executive officers and certain of its directors. The registration statement provides for the sale of 2,328,115 shares by such stockholders. In addition, these stockholders have granted the underwriters an option to purchase up to an additional 349,217 shares to cover over-allotments, if any. The company will not receive any proceeds from the offering.

UBS Investment Bank is acting as sole book-running manager for this offering and the offering is being co-managed by Jefferies & Company, Inc. and CIBC World Markets Corp. When available, a preliminary prospectus relating to the offering may be obtained from UBS Securities LLC, Prospectus Department, 299 Park Avenue, New York, NY 10171.
